中国国有矿业集团紫金矿业近日宣布,其已签署相关协议,将以现金方式收购加拿大金矿公司大陆黄金股份,收购额约为10亿美元。加拿大麦启泰律师事务所在交易中为紫金矿业提供了法律意见,卡素•布洛克律师事务所和法铭德律师事务所则分别出任大陆黄金及由独立董事组成的特殊委员会的代理律师。

根据路透社的报道,紫金这此收购主要是为了获得大陆黄金在哥伦比亚开发的武里蒂卡金矿的经营权。根据目前探测,该金矿约储存有165吨黄金,紫金预计其未来将能开采超过2000吨黄金,在2020年正式运营后成为公司强健的利润及现金流来源。

然而路透社补充说,大陆黄金的一名高管表示哥伦比亚的安全问题可能对交易构成风险。此外,该笔交易还需获得中国及加拿大政府批准,后者曾以国家安全为由,于去年否决了中国交通建设对加拿大基建巨头爱康集团的收购。

Three Canadian firms act on China Zijin’s purchase of gold mine

Canadian law firm McCarthy Tétrault has advised China’s state-backed Zijin Mining on its $1 billion acquisition of Canadian miner Continental Gold, with Cassels Brock & Blackwell advising the seller and Fasken Martineau DuMoulin advising the Special Committee of independent directors.

According to Reuters, Zijin’s offer aims to secure Continental Gold’s flagship Buritica gold project in Colombia, which has measured and indicated gold reserves of 165.47 tonnes. Zijin expects its gold reserves to exceed 2,000 tonnes after the purchase and to generate robust profit and cash flow after becoming operational in 2020.

The McCarthy team was led by partner Joyce Lee, with assistance from partners Dan Bornstein, Pavan Jawanda, Chris Langdon and Jason Gudofsky.
