Orrick, Herrington & Sutcliffe and PacGate Law Group have advised JD Daojia on its agreement to merge with Dada Nexus, which turned to Skadden, Arps, Slate, Meagher & Flom and Han Kun Law offices for counsel.
JD Daojia, an online-to-offline unit of Chinese online direct sales company JD.com, will merge with Dada Nexus Ltd, a crowdsourcing platform, to form a new company. JD.com will receive approximately 47.4 percent of the new company’s equity in exchange for various kinds of resource support and $200 million in cash.
The Orrick team is led by Shanghai corporate partner Jie (Jeffrey) Sun, while the Skadden team includes Hong Kong partner Julie Gao.
Philip Kuai, CEO of Dada, and Zhijun Wang, president of JD Daojia, will serve as CEO and president of the new company, respectively, JD.com said in a statement.
JD.com said the new company will continue to operate its crowdsourcing delivery platform under the Dada brand.
