聚美优品近日宣布,其已与母公司Super ROI Global以及买方集团达成私有化协议,母公司和买方将收购聚美优品所有在纽交所已发行的A类普通股。收购结束后,聚美优品将完成私有化,预计在二季度完成退市。
霍金路伟国际律师事务所在交易中担任独立委员会美国法律顾问,该委员会由聚美优品独立董事赵巨涛和邵孝恒组成;世达国际律师事务所则担任聚美优品董事会主席、CEO陈欧的美国法律顾问;衡力斯律师事务所和康德明律师事务所就开曼群岛相关法律提供了意见。
聚美优品成立于2010年,于2014年在纽交所上市。聚美优品是一个以销售时尚及美容产品为主的电商平台,也是中国最早发起美妆团购的电商平台之一。其曾于2016年第一次提出私有化要约,但未能成功。
世达团队牵头合伙人为高准、黄小霈、Kenton King和Michael Mies。霍金路伟团队牵头律师为香港办公室合伙人汤师淳。
Skadden, Hogan Lovells act on Jumei’s NYSE privatization
Hogan Lovells has advised China e-commerce platform Jumei International’s special committee's NYSE privatisation, with Skadden, Arps, Slate, Meagher & Flom advising Leo Ou Chen, chairman and CEO of the company.
According to Jumei’s press release, it has entered into a definitive agreement and plan of merger with its parent company Super ROI Global and Jumei Investment, who will acquire all the outstanding class A ordinary shares of the Company. The deal is expected to close in the second quarter of 2020.
Founded in 2010, Jumei is a fashion and lifestyle solutions provider with a diversified portfolio of products on offer in China through its e-commerce platform. The company was listed on the NYSE in 2014. It offered for privatization the first time in 2016 but was rejected by shareholders.
Harneys and Conyers Dill & Pearman have advised on Cayman Islands law in the deal.
The Skadden team was led by partners Z. Julie Gao, Peter Huang, Kenton King and Michael Mies. The Hogan Lovells team was led by Hong Kong corporate partner Stephanie Tang.
